These Terms & Conditions ("Terms") govern your use of the website and software products provided by Azazel Audio ("Azazel Audio", "we", "us", or "our"). By downloading, installing, purchasing, or using our software or accessing our website, you agree to these Terms.
1. The Service
Azazel Audio develops and sells audio software plugins (VST/AU/AAX instruments and effects) for music producers. Purchases grant you a limited licence to use the software as described below.
2. Acceptance
By continuing to use the service, you agree to be bound by these Terms. If you do not agree, do not use the service. You represent that you are of legal age to form a binding contract, or have the authority to bind the organisation on whose behalf you act.
3. Licence
Subject to your compliance with these Terms and payment of applicable fees, Azazel Audio grants you a limited, non-exclusive, non-transferable, non-sublicensable licence to install and use the software for your personal or internal business music production purposes. Music you create with the software is yours.
4. Restrictions & Acceptable Use
You must not:
- Use the service unlawfully, fraudulently, or to send spam or malware.
- Infringe our or any third party's intellectual property or other rights.
- Reverse engineer, decompile, or attempt to derive source code, except where such restrictions are prohibited by applicable law.
- Resell, redistribute, sublicense, rent, or share licence keys or installers.
- Probe, scan, scrape, or interfere with the security or integrity of the service.
5. Intellectual Property
The software, website, branding, documentation, and all related intellectual property are and remain the exclusive property of Azazel Audio and its licensors. No rights are granted other than the limited licence expressly set out in these Terms.
6. Payments & Merchant of Record
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation, and refund mechanics are governed by Paddle's Buyer Terms.
7. Refunds
Refunds are handled in accordance with our Refund Policy.
8. Service Level & Warranties
The service is provided "as is" and "as available". We do not guarantee that the service will be uninterrupted, error-free, or free of harmful components. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
9. Limitation of Liability
To the fullest extent permitted by law, Azazel Audio's aggregate liability arising out of or relating to the service shall not exceed the fees you paid to Paddle for the product giving rise to the claim in the 12 months preceding the event. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill. Nothing in these Terms excludes liability that cannot be excluded by law.
10. Suspension & Termination
We may suspend or terminate your access to the service for material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations. Upon termination, the licence granted to you will end and you must stop using the software.
11. Indemnity
You will indemnify and hold Azazel Audio harmless from any claim arising from your unlawful use of the service, your breach of these Terms, or your infringement of any third-party right.
12. Changes
We may update these Terms from time to time. Continued use of the service after changes take effect constitutes acceptance of the revised Terms.
13. Governing Law
These Terms are governed by the laws applicable at Azazel Audio's principal place of business, without regard to conflict-of-law principles.
